Terms of Service

1. Who we are

Zen (the “Service”) is operated by Vins House, LLC (“Vins House”, “we”, “us”, or “our”), trading as “Zen”. By creating an account or otherwise using the Service, you (“you” or “User”) enter into a binding agreement with Vins House, LLC.

2. Acceptance

By accessing or continuing to use the Service, you agree to these Terms. If you do not agree, do not use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.

3. The Service

Zen is a hosted Kanban board for individuals and teams to organize, track, and collaborate on work items. We may add, change, or remove features at any time.

4. Account & accuracy

You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You agree to provide accurate information and keep it up to date.

5. Acceptable use

You must not misuse the Service. In particular, you agree not to:

  • use the Service for any unlawful, fraudulent, or deceptive purpose;
  • send spam or distribute malware;
  • infringe intellectual property or other rights of any person;
  • probe, scan, scrape, or otherwise interfere with the security or integrity of the Service;
  • attempt to reverse engineer, resell, or redistribute the Service.

6. Intellectual property

The Service, including all software, documentation, branding, and content created by us, is owned by Vins House, LLC and protected by applicable IP laws. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with your plan. You retain ownership of the content you create or upload; you grant us a limited license to host and process that content solely to provide the Service.

7. Service level

We work hard to keep the Service available and performing well, but we do not guarantee that it will be uninterrupted, secure, or error-free. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability and fitness for a particular purpose.

8. Payments, billing & refunds

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment terms, taxes, billing cadence, renewals, and refund mechanics are governed by Paddle’s Buyer Terms and our Refund Policy. Subscriptions renew automatically until canceled.

9. Suspension & termination

We may suspend or terminate your access if you materially breach these Terms, if your account is past due, if there is a security or fraud risk, or for repeated or serious policy violations. You may cancel your subscription at any time; on termination your access will end and we will delete or anonymize your data after a reasonable export window.

10. Liability

To the fullest extent permitted by law, our aggregate liability for any claim arising out of or relating to the Service is limited to the fees you paid us in the twelve (12) months preceding the claim. We are not liable for indirect, consequential, or special damages, including loss of profits, data, or goodwill. Nothing in these Terms excludes liability for fraud, death, or personal injury caused by negligence where such exclusion would be unlawful.

11. Indemnity

You agree to indemnify Vins House, LLC against claims arising from your content, your unlawful use of the Service, or your breach of these Terms.

12. Governing law

These Terms are governed by the laws of the State of Texas, United States, without regard to its conflict of laws rules. Disputes will be brought in the state or federal courts located in Texas.

13. Changes

We may update these Terms from time to time. Material changes will be communicated via the Service or by email. Continued use after the changes take effect constitutes acceptance.
